1. Herein we set out the General Terms and Conditions on which you agree to be bound by and when making use of the website – www.hotelsbuddy.co.uk (the ‘Site’, ‘Hotelsbuddy’, ‘we’, ‘us’ or ‘our’).

2. We would encourage you to read these Terms and Conditions carefully as they contain important information regarding your legal rights, remedies and obligations as well as information relating to bookings and commission. These include various limitations and exclusions and obligations to comply with applicable laws and regulations.

3. We and the services made available through the site (the “Services”) comprise an online platform which connect hosts who have venues and spaces to rent ("Venues") with guests seeking to rent such spaces and venues ("Guests"). Guests browsing the Site may learn about and book venues directly with venue providers or through the site. You understand and agree that Hotelsbuddy is not a party to any agreement entered into between any Venue on the Site, and a Guest using the Site, nor is Hotelsbuddy in partnership with any venue provider or consumer. Hotelsbuddy has no control over the conduct of venue providers, consumers, other users of the Site and Services, listings, or any venue advertised on the Site, and we disclaims all liability in this regard to the maximum extent permitted by law.

4. These General Terms and Conditions shall prevail over any other terms including the Website Terms of Use. These General Terms and Conditions apply together with the Website Terms of Use at all times.

5. You acknowledge and agree that, by accessing or using the Hotelsbuddy site or Services or by downloading or posting any content from or on the Site or through the Services, or accessing any associated social media of Hotelsbuddy either directly or through being redirected by the site, you are indicating that you have read, and that you understand and that you agree to be bound by these terms, whether or not you have registered on the Site or become a member of the site. If you do not agree to these terms, then you have no right to access or use the Site or Services. If you accept or agree to these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these terms and, in such event, "you" and "your" will refer and apply to that company or other legal entity.

6. Hotelsbuddy is not responsible for and disclaims any and all liability related to any and all listings and venues. The site is intended to guide guests and act as an introductory platform between guests and venues. We do not control the content contained in any listings created by venue providers or Hotelsbuddy and do not make any warranty or representation to guests using the Site as to the condition, legality or suitability of any venue advertised on the Site.

DEFINITIONS AND INTERPRETATION

7. The site is run and operated by www.hotelsbuddy.co.uk (the ‘site’, ‘Hotelsbuddy’, ‘we’, ‘us’ or ‘our’).

ACCOUNT/GUEST ACCOUNT

An account created by or on behalf of a Venue on the site for the purpose of creating a public listing or an account created by or on behalf of a Guest or Guests for the purposes including but not limited to browsing the Site, making a booking enquiry and/or making a booking.

 

ASSOCIATE/AFFILIATE

An entity that directly or indirectly controls or is under common control of the Venue.

 

BOOKING ENQUIRY

  • When a Guest makes an enquiry via the site by providing personal contact details on an enquiry form.

  • When Hotelsbuddy suggests a particular venue to the Guest.

  • When a Venue refers the Guest to a particular Venue.

  • When Hotelsbuddy contacts a Venue on behalf of a Guest.

CONFIRMED BOOKING / HELD BOOKING

A booking that is confirmed in a Venue that then takes place as per agreed confirmation or takes place at a re-scheduled date upon agreement by Venue and Guest.

 

EVENT

Shall mean an event for which the confirmed booking of a Venue is made.

 

GUEST

Is anyone who requests from a Venue a booking of a space or venue via the Site or its Services.

 

HIRE FEES

The total price (exclusive of VAT) agreed between the Guest and the Venue, payable by the Guest to the Venue, for use of the Venue for the Event or any recurring events, on the Event Dates (which shall include, but is not be limited to, room hire, accommodation, food and beverages, IT equipment hire and all other services required for the Event, which are provided or facilitated by the Venue).

RECURRING EVENT

Shall mean an Event which takes place or scheduled to take place across multiple Event Dates (such that the Event falls across two or more non-consecutive dates) due to one or more Confirmed Bookings, which have arisen from a single Booking Enquiry.

 

TAX or TAXES

Value added tax (VAT), sales taxes, goods and services tax (GST) or any other tax that we or the Venue may need to collect from the Guest and remit under existing and local law.

 

 

BOOKINGS / VENUE PROVIDERS / OBLIGATIONS

 

8. Any bookings directly received at www.hotelsbuddy.co.uk will be made available to a Venue or a collective of Venues. All suitable responses will be collated and provided to the Guest. The ultimate decision and sole responsibility for making this decision lies with the Guest.

 

9. The Venue finding service is absolutely free for Guests.

 

10. Hotelsbuddy may collect commission payments or an introduction fee from Venues in consideration of us facilitating a confirmed booking. An introduction will deemed to have taken place irrespective of whether the Venue is contacted by Hotelsbuddy or directly by a client through the recommendation of www.hotelsbuddy.co.uk or a member of the Hotelsbuddy team. Payments are strictly 30 days or as agreed in individual cases. All payments to Hotelsbuddy will be subject to VAT at the prevailing rate. Any such payment becomes payable immediately from the day after the event date and is not conditional upon the Venue first receiving any payments or outstanding monies from Guests.

 

11. Hotelsbuddy may exercise its absolute discretion in charging a lower rate of commission or waive any commission due in its entirety including for, but not limited to, registered charities and worthwhile causes.

 

12. Hotelsbuddy reserves the right to enquire and receive feedback, either from Guest or Venue, on the status of a booking enquiry, proposal or confirmed booking without any undue delay.

 

13. Commission shall become payable if  a confirmed booking takes place 3 months prior or after the date for which the initial Booking Enquiry was made for.

 

14. Hotelsbuddy reiterates that it does not at any time endorse any particular event location or venue. Hotelsbuddy does expect, however, for all Venues to deliver goods and services as specified by individual event proposals and contracts in good faith and to the best of its ability towards Guest and Hotelsbuddy.

 

15. Venues are solely responsible to ensure they comply with all existing laws and regulations and also the accuracy of the information it provides to Guests and Hotelsbuddy.

 

16. The Venue agrees and understands that it does indemnify, defend and will hold harmless Hotelsbuddy, its directors, associates, employees, and Affiliates, from any and all third party claims, liability, damages and/or costs (including, but not limited to, legal fees and associated costs) arising from, without limitation, the Venue’s use of www.hotelsbuddy.co.uk and Services, any breach of these Terms and Conditions and the terms of use, infringement of any IP Rights or any other right of any person or entity, or breach of any kind by the Venue in any form or shape.

LAW

17. These terms of use are governed by English law and be enforceable only in a court of competent jurisdiction in England and Wales.

ACCESSING THE SITE / PASSWORDS / CHANGES AND UPDATES TO TERMS AND SITE

6. Hotelsbuddy is made available free of charge. We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. Access to our Site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our Site without notice. We will not be liable to you if for any reason our Site is unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to our Site. You are also responsible for ensuring that all persons who access our Site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

11. Hotelsbuddy does, to the extent permitted by law, exclude all conditions, warranties, representations or other terms which may apply to our Site or any content on it, whether express or implied.

12. The content on Hotelsbuddy and any information provided by it is provided for guidance only. It is not intended to advise. You accept that taking, or refraining from, any action on the basis of the content on our Site, is done at your own risk. Although we make reasonable efforts to update the information on our Site, we make no representations, warranties or guarantees, whether express or implied that the content on our Site is accurate or up to date.

INTELLECTUAL PROPERTY

13. Hotelsbuddy respects the intellectual property rights of others and expects its Venues, Guests and all users to do the same.

14. Hotelsbuddy is the owner and/or the licensee of all intellectual property rights in our Site and any original material contained within. You must not use any part of the content on our Site for commercial purposes without obtaining written permission from Hotelsbuddy or the licence holder. We reserve all our rights with reference to international and local copyright laws.

15. Hotelsbuddy will take all notices of Intellectual Property (IP) infringements seriously and will, at its discretion, take measure to disable or discontinue the membership of Venues or any other party that repeatedly infringes the IP rights of a third party.

16. If you feel that there has been an infringement of Intellectual Property, please report this through the site and Hotelsbuddy will deal with the matter at its discretion.

USE OF LINKS AND VIRUSES

17. Hotelsbuddy, its website and services may and will contain links to third party services, websites and resources. You agree and acknowledge that by using any such links you do so entirely at your own risk. Hotelsbuddy is not and will not be at anytime liable for the accuracy, content, links within, products and services, and/or availability of any such third party service, websites and/or resources. Furthermore, Hotelsbuddy does not have any control over such website or resources.

18. You may link to various pages of the Hotelsbuddy website. This is provided that you do this in a manner that would cause no damage in anyway whatsoever to the reputation of Hotelsbuddy and its associated venues and guests. We reserve the right to request removal of links and to withdraw any such permission provided at our sole discretion.

19. Link to or being linked in does not imply any endorsement or association whatsoever by Hotelsbuddy.

20. Hotelsbuddy does not give any assurance or guarantees that the site will be free and completely secure from computer viruses and other tech ‘nasties’.

21. You are encouraged to ensure that your virus protection software is up to date and you are solely responsible for configuring your software to access the site.

22. You must not attempt to knowingly infect the site with viruses or any other material that may be malicious in nature. By so doing you would be committing a criminal act under the Computer Misuse Act 1990.

LAW

Payment

Hotelsbuddy does not store any personal banking details. Any payment transactions are carried out by appropriately regulated 3rd parties and only they will hold your details. Where we have given you (or where you have chosen) a password which enables you to access certain parts of our site, you are responsible for keeping this password confidential. We ask you not to share a password with anyone.

Processing Data

Venue Bookers

Transactional communications. These refer to the use of your name, email address and telephone number for the purposes in our legitimate interest of facilitating a specific transaction initiated by you, usually an enquiry for a venue made through our platform, and to provide you with customer service, support and service notices, reminders, technical updates and security alerts relating to that enquiry.

We’ll use the personal data you provide us with for:
 

  • Responding to and communicating with you for the purposes of sourcing you a venue or supplier requested by you

  • Enabling communication with venues chosen by you

  • Sending you service, support and administrative messages, reminders, technical notices, updates, security alerts, and information relating to an enquiry

 

We may also use it to perform various legal and compliance requirements we may have, including:

  • Complying with and performing our legal obligations arising from agreement between our bookers and ourselves or our agreements with third parties

  • Verifying compliance with the terms and conditions governing the use of our platform

  • Resolving disputes which may arise from the booking of venues through our platform

Processing of your data for transactional purposes will be required for a period of 4 years after your enquiry is considered completed by Hotelsbuddy, or if an enquiry is active/pending for a period of 4 years and 6 months without activity.

Optimisation. We may use data you make available to us during your transaction to improve in our legitimate interest the experience and personalise our platform for our users, to understand, administer, develop and improve our platform and to create a safe and trusted environment for our users

Key Announcements and promotions. To occasionally inform you of updates of Hotelsbuddy and its key products, including updates to our terms and conditions, news on product releases, Invitations to key events and other exceptional announcements deemed relevant to you.

 

Venue Operators

For venue operators using our platform, we’ll use your data for the following purposes:

Transactional communications. These refer to the use of your name, email address and telephone number for the purposes in our legitimate interest of facilitating a specific transaction, usually an enquiry for your venue through our platform, and to provide you with customer service, support and service notices, reminders, technical updates and security alerts relating to that enquiry.

Personal Data/Sharing

Your personal data will be treated as strictly confidential, and will be shared only with venues or venue bookers, in relation to a specific enquiry, with your explicit permission. We will not share your data with third parties, except with your explicit written permission.

We will never share your data outside of the EU except with your explicit written permission, or to put you in touch with a venue outside that jurisdiction with your permission.

We may share your personal data to any of our insurers, members, employees, professional advisers, agents, suppliers, contractors or subcontractors as required for the purposes outlined in this policy.

How long do we keep your personal data?

Venue Bookers
  1. Processing of your data for transactional purposes will be required for a period of 4 years after your enquiry is considered completed by Hotelsbuddy, or if an enquiry is active/pending for a period of 4 years and 6 months without activity.

  2. For data processing for the purposes of Optimisation and Key Announcements, we will keep your personal data until the point at which you instruct us to securely delete that personal data. You may instruct us to securely delete your personal data at any time by writing to Data Protection Officer at bookings@hotelsbuddy.co.uk

 

  1. For data processing for Marketing and Promotions we will keep your personal data until the point at which you instruct us to securely delete that personal data or you unsubscribe. Venue Operators

Processing of your data is ongoing in order to facilitate enquiries to your venue, and may be terminated at your request, either by removing your venue from our website or by emailing bookings@hotelsbuddy.co.uk

Your rights and your personal data

Unless subject to an exemption under the GDPR, you have the following rights with respect to your personal data:

  1. The right to request a copy of your personal data which the we hold about you

  2. The right to request that we correct any personal data if it is found to be inaccurate or out of date

  3. The right to request your personal data is erased where it is no longer necessary for us to retain such data

  4. The right to withdraw your consent to the processing at any time

  5. The right to request that we provide the data subject with your personal data and where possible, to transmit that data directly to another data controller

  6. The right, where there is a dispute in relation to the accuracy or processing of your personal data, to request a restriction is placed on further processing

Where and whenever necessary, we will seek your prior consent to the new processing.
